1. About these Terms

These Terms of Use ("Terms") govern your access to and use of the DalRoti website, web terminal, mobile applications, APIs and related services (together, the "Services") provided by GVK DALROTI CLOUD SERVICES AND DATACENTERS PROVIDERS FZCO, a free zone company registered with the International Free Zone Authority (IFZA), with its address at DSO IFZA, IFZA Properties, Dubai Silicon Oasis, Dubai, UAE ("DalRoti", "we", "us").

By creating an account or using the Services you agree to these Terms, our Privacy Policy, Cookies Policy and Disclaimer. If you do not agree, do not use the Services.

2. What DalRoti is, and is not

DalRoti provides trading software tools: charts, market data display, order-entry interfaces, no-code automation, backtesting, trade copying, mentor content tools, journaling and connectivity to third-party brokers.

DalRoti is not a broker, dealer, exchange, investment adviser, portfolio manager or custodian. We do not hold client money or securities, do not execute orders on our own account and do not provide investment, legal or tax advice. All trades are placed through, and settled by, the broker or exchange account that you choose and connect.

3. Eligibility

You must be at least 18 years old (or the age of majority where you live), have full legal capacity, and not be prohibited from using the Services or trading financial instruments under the laws that apply to you. You are responsible for ensuring that your use of the Services and of any broker is lawful in your jurisdiction.

4. Your account

You must provide accurate information, keep it up to date and keep your credentials, one-time passwords (OTP) and two-factor authentication devices confidential. You are responsible for all activity under your account. Tell us immediately at support@dalroti.ae if you suspect unauthorised access.

We may require identity, phone or email verification, and may refuse, suspend or close accounts to protect users, the Services or to comply with law.

5. Acceptable use

You must not: (a) break any law or regulation, including market-abuse, sanctions and anti-money-laundering rules; (b) manipulate markets or use the Services for spoofing, wash trading or similar conduct; (c) access the Services by automated means except through features or APIs we provide; (d) reverse engineer, scrape, overload or interfere with the Services or their security; (e) share, resell or redistribute market data or content in breach of the data provider's terms; (f) upload malicious code or infringing, misleading or unlawful content; (g) impersonate others or misrepresent your performance.

Commercial use: you must not use the Services, or any part of their content (including charts, chart images, market data, indicators, posts and other materials), for any commercial purpose – such as reselling, redistributing, republishing, embedding in another product or website, or offering it to third parties – without first obtaining the necessary licences from us and from the relevant third-party owners (for example data providers, exchanges and TradingView).

Lawful use: you must not use the Services in any way that breaches any applicable local, national or international law or regulation, or that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

6. Third-party brokers, data and services

The Services connect to third parties you select, such as brokers and their APIs, MetaTrader terminals, market-data providers (for example Twelve Data and exchange or broker feeds) and charting libraries provided by TradingView. Your relationship with each broker is governed by your agreement with that broker. We are not responsible for the acts, omissions, outages, pricing, execution quality, fees or policies of third parties.

Market data may be delayed, incomplete or inaccurate and is provided for information only. Exchange and provider terms may restrict how data is used.

7. No advice; risk disclosure

Nothing in the Services is a recommendation or an offer to buy or sell any instrument. Trading leveraged products, derivatives, foreign exchange, commodities and crypto-assets carries a high risk of loss and may not be suitable for you; you can lose more than your initial deposit with some brokers. Past performance, backtests and simulated results do not guarantee future results. You alone decide whether to trade and you bear all resulting gains and losses.

8. Automation, copy trading and mentor content

Automated strategies, alerts and trade copying execute instructions that you configure. They can fail or behave unexpectedly because of connectivity, broker rejections, latency, slippage, data errors, symbol mapping, position-size differences or software defects. You must monitor your accounts, set appropriate limits and use stop-losses where suitable.

Mentors and strategy authors are independent users, not employees or agents of DalRoti. Their posts, signals and strategies are their own opinions; we do not verify or endorse them. Copying another person's trades does not transfer responsibility for your decisions.

9. Fees

Charts and chart features are free for every user and are never part of a paid plan. Paid plans (Essential, Professional, Premium, Ultimate) are subscriptions billed monthly or yearly in advance and renew automatically until you cancel. Prices are shown on the Pricing page and, with the billing cycle and the amount, again before you pay. Our Subscription Terms and Refund & Cancellation Policy form part of these Terms. Broker commissions, exchange fees and data fees charged by third parties are separate.

10. Intellectual property

The Services, software, design, logos and content we provide are owned by or licensed to DalRoti and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own trading. You keep ownership of content you post and grant us a worldwide licence to host and display it to operate the Services. TradingView and other third-party marks belong to their owners.

11. Availability and changes

We aim for high availability but the Services are provided "as is" and "as available". We may change, suspend or discontinue features, and perform maintenance, with notice where reasonably possible.

12. Limitation of liability

To the maximum extent permitted by law, DalRoti and its directors, employees and suppliers are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, trading losses, missed opportunities, data loss or business interruption, arising from your use of or inability to use the Services, third-party services, market data or automated or copied trades. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim. Nothing limits liability that cannot be limited by law.

13. Indemnity

You will indemnify DalRoti against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your trading, your content or your violation of law or third-party rights.

14. Suspension and termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms, create risk for others or where required by law. Sections that by their nature should survive termination will survive.

15. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction. [Placeholder – forum (e.g. Dubai Courts or DIFC Courts / arbitration) to be confirmed by counsel.]

16. Changes to these Terms

We may update these Terms. We will post the new version with its date and, for material changes, notify you in the app or by email. Continued use after the effective date means you accept the changes.
